Pennsylvania LLC Filing Fees: The 2026 Numbers
The state side of a Pennsylvania LLC is refreshingly cheap. Formation is a one-time $125, the yearly report is $7, and moving your registered office is $5. Below is every fee the Commonwealth charges an LLC, straight from the Department of State fee schedule (15 Pa.C.S. ยง 153), followed by what our filing service runs.

The Formation Fee Is $125
Filing the Certificate of Organization (DSCB:15-8821) with its docketing statement (DSCB:15-134A) is what legally creates the company, and $125 is the entire mandatory state charge for a standard domestic LLC. The fee amount is fixed by statute, so it is the same whether you file online or by mail.

Get StartedSince 2025, every Pennsylvania LLC files an annual report (form DSCB:15-146) during the window that opens January 1 and closes September 30. A for-profit LLC pays $7; an LLC organized for a not-for-profit purpose pays nothing. Pennsylvania charges no late fee for a missed report, but the Department can start administrative dissolution about six months after the deadline, with enforcement beginning for reports due in 2027. Fees Pennsylvania Does Not Charge
Two things worth knowing before you budget. First, there is no monetary late penalty on the annual report; the risk is dissolution, not a fine. Second, no Pennsylvania statute obligates you to buy registered agent service at all, because an LLC may list its own street address as the registered office. You hire a CROP for privacy and reliability, not because the law says you must.
